Vancouver, British Columbia, Sept. 19, 2025 (GLOBE NEWSWIRE) — First American Uranium Inc. (CSE:<\/b> URM) (FSE: IOR) <\/b>(OTCPK: FAUMF) <\/b>(the \u201cCompany\u201d) <\/b>is pleased to announce, further to its news releases of August 14 and 29, 2025,\u00a0 that the Company has closed the second tranche of the previously announced non-brokered private placement (the \u201cOffering<\/b>\u201d) of common shares in the capital of the Company (the \u201cShares<\/b>\u201d) by the issuance of 1,611,000 Shares at $0.30 per Share for gross proceeds of $483,300.00 (the \u201cSecond Tranche<\/b>\u201d).\u00a0 The Company expects to close a third and final tranche of the Offering on or before October 1, 2025.<\/p>\n

In connection with the Second Tranche, the Company paid finder\u2019s fees to eligible finders consisting of $13,020.00 in cash and 43,400 common share purchase warrants (the \u201cFinder\u2019s Warrants<\/b>\u201d).\u00a0 Each Finder\u2019s Warrant is exercisable to acquire one Share at an exercise price of $0.30 per Share for a period of 24 months from the date of issuance.<\/p>\n

All securities issued in connection with the First Tranche are subject to a statutory hold period of four months plus a day ending on January 20, 2026, in accordance with applicable securities legislation and policies of the Canadian Securities Exchange (\u201cCSE<\/b>\u201d).<\/p>\n

The Company intends to use the net proceeds from the Offering to fund exploration work programs, mineral property acquisitions, marketing and for general working capital purposes.<\/p>\n
