WHAT IS THIS ABOUT:<\/strong> On March 4, 2025, SoundHound filed a Notification of Late Filing on Form 12b-25 with the SEC stating that SoundHound would be unable to file its 10-K annual report for the fiscal year ended December 31, 2024 within the prescribed time period. The Notification of Late Filing explained that, \u201c[d]ue to the complexity of accounting for [the Company\u2019s prior acquisitions of Synq3, Inc. and Amelia Holdings, Inc.], the Company requires additional time to prepare financial statements and accompanying notes.\u201d The Notification of Late Filing further stated that SoundHound \u201chas identified material weaknesses in its internal control over financial reporting. These material weaknesses continue to exist as of December 31, 2024. The Company expects to file its Form\u00a010-K\u00a0within the\u00a0fifteen-day\u00a0period provided under\u00a0Rule\u00a012b-25,\u00a0no later than by March\u00a018, 2025.\u201d<\/p>\n

On this news, SoundHound\u2019s stock fell 5.8% on March 4, 2025.<\/p>\n
