VGP NV (\u2018VGP\u2019 or \u2018the Group\u2019) held today its Annual, Special and Extraordinary Shareholders\u2019 Meetings (the\u00a0\u2018Shareholder Meetings\u2019) in accordance with the organization method as described in its press release of 8 April 2026.<\/p>\n

ANNUAL SHAREHOLDERS\u2019 MEETING<\/u><\/b><\/p>\n

The shareholders approved all agenda items.<\/p>\n

We make reference to the agenda as included in the convocation of the Annual Shareholder\u2019 Meeting and more specifically the agenda items regarding the dividend.<\/p>\n

Dividend<\/b><\/p>\n

The annual shareholder\u2019s meeting approved the payment of a gross dividend for a total amount of EUR 92,790,460.80 which corresponds to an amount of EUR 3.4 per share in relation to the financial year ending 31 December 2025 and approved to delegate the determination of the payment date as well as all other formalities relating to the payment of the dividend to the board of directors.<\/p>\n

During a Board of Directors meeting held today, after the closing of the Shareholders\u2019 Meetings, the Board of Directors approved the payment details as follows:<\/p>\n

–\u00a0\u00a0\u00a0 8 May 2026:\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Ex-date dividend 2025<\/p>\n

–\u00a0\u00a0\u00a0 11 May 2026:\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Record date dividend 2025<\/p>\n

–\u00a0\u00a0\u00a0 22 May 2026:\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Payment date dividend 2025<\/p>\n

SPECIAL SHAREHOLDERS\u2019 MEETING<\/u><\/b><\/p>\n

The Special Shareholders\u2019 Meeting also approved all agenda items.<\/p>\n

We make reference to the agenda as included in the convocation of the Special Shareholders\u2019 Meeting and more specifically the agenda items regarding the approval of the change of control clauses.<\/p>\n

EXTRAORDINARY SHAREHOLDER\u2019S MEETING<\/u><\/b><\/p>\n

The Extraordinary Shareholders\u2019 Meeting also approved all agenda items.<\/p>\n
